1.Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of Integrater (the “Service”), a payment processing and payment data platform owned and operated by Chargezoom, Inc. (“Chargezoom,” “we,” “us,” or “our”), a company based in Salt Lake City, Utah.

Integrater is made available to businesses (“Customers”) who use the Service to accept and process payments from their own customers (“Payors”). By accessing or using Integrater, whether as a Customer or a Payor, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

These Terms incorporate by reference our Privacy Policy, which explains how we collect, use, and share information in connection with the Service.

2.Definitions

  • “Customer” means a business or merchant that has contracted with Chargezoom to use Integrater to process payments from its own customers.
  • “Payor” means an individual or business that makes a payment to a Customer through Integrater.
  • “Payment Graph” means Chargezoom's payment data network, described in Section 5, through which a Payor may elect to save payment information for use across participating Customers.
  • “Payor Information” means information collected from or about a Payor in connection with processing a payment, including but not limited to cardholder name, email address, phone number, business name, and payment method details.

3.Description of the Service

Integrater allows Customers to accept payments from Payors and provides supporting infrastructure for payment processing, including fraud reduction, transaction routing, and account management tools. Chargezoom is not a party to the underlying transaction between a Customer and a Payor and does not control the goods, services, or pricing offered by a Customer.

4.Customer Obligations

Customers are responsible for:

  • Providing accurate business and account information to Chargezoom.
  • Complying with applicable law, including consumer protection and data privacy law, in their use of the Service.
  • Obtaining any consents required from their Payors to process payments through Integrater.
  • Maintaining the confidentiality of any credentials used to access the Service.

5.Payment Graph — Optional Payor Account and Data Sharing

As part of processing a payment, a Payor may be offered the option to create a free account and save their Payor Information with Chargezoom through Payment Graph, Chargezoom's payment data network. Payment Graph is designed to make future payments faster for the Payor and to reduce fraud across Customers on the network.

Participation in Payment Graph is optional and requires the Payor's affirmative opt-in. A Payor who does not opt in will still be able to complete their payment; declining Payment Graph does not affect a Payor's ability to use the Service to make a payment to a Customer.

A Payor who has opted in to Payment Graph may opt out at any time. Instructions for opting out are available by contacting Chargezoom using the information in Section 13 of these Terms, or through account settings where available. Once a Payor opts out, Chargezoom will cease using their Payor Information for the purposes described in this Section 5, other than as required to comply with law, resolve disputes, or enforce our agreements.

6.Data Use, Ownership, and No Sale of Personal Information

Chargezoom does not sell Payor Information. Chargezoom may use Payor Information, including cardholder name, email address, phone number, and business name, for the following purposes:

  • Processing and completing payment transactions.
  • Fraud prevention and detection, which is the primary purpose of Payment Graph.
  • Internal analysis, including the creation of derivative or aggregated data sets.
  • Promoting additional Chargezoom services to the Payor, where the Payor has not opted out.

A Payor may opt out of being contacted about additional services at any time, as described in Section 5. Chargezoom will honor that opt-out and, once received, will not contact the Payor for promotional purposes going forward.

7.Fees

Fees for use of the Service are set out in the applicable agreement between Chargezoom and the Customer, or as otherwise disclosed at the time of a transaction. Creating a Payment Graph account as a Payor is free.

8.Intellectual Property

Chargezoom retains all right, title, and interest in and to Integrater, Payment Graph, and all related software, technology, and trademarks. These Terms do not grant either a Customer or a Payor any ownership interest in the Service.

9.Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, CHARGEZOOM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHARGEZOOM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Salt Lake City, Utah.

12.Changes to These Terms

Chargezoom may update these Terms from time to time. Material changes will be communicated by posting an updated version of these Terms with a new effective date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
